Terms and Licence — Innovations Project Timeline (IPT)

Effective 1 October 2026  ·  End-user licence agreement and terms of use for the free version and paid plans

In short. The free version is free to use, with limits. Paid plans remove the limits, and are billed per user per year. Your plans stay yours and stay in your presentations. A chart you made keeps working even if a licence ends. The software is provided as is, and our liability is limited. The full terms follow.

1. Who we are, and what these terms cover

These terms are an agreement between you and Imagination Innovations LLC, a California limited liability company of Sunnyvale, California, USA (“we”, “us”). They cover Innovations Project Timeline (“IPT”, the “Software”), the add-in for Microsoft PowerPoint, with its updates, documentation and any licence service we run for it. By installing or using IPT you accept these terms. If you accept on behalf of an organisation, you confirm you are authorised to bind it, and “you” includes that organisation. If you do not accept these terms, do not use IPT.

2. Your licence

IPT is licensed, not sold. Subject to these terms, we grant you a non-exclusive, non-transferable, revocable licence to use IPT within Microsoft PowerPoint, for your personal or internal business purposes, at the level of the plan you have. We reserve all rights not expressly granted. IPT, its code, design and documentation remain our property and are protected by copyright and other laws.

3. Free version and paid plans

We may change what each plan includes in future releases. We will not reduce the core features of a paid plan during a term you have already paid for.

4. Buying, billing and renewal

Through Microsoft. If you buy through Microsoft Marketplace or Microsoft AppSource, Microsoft is the seller of record. Microsoft’s terms govern billing, payment, tax, renewal, cancellation and refunds for that purchase, and seats are managed in your Microsoft 365 admin center. Licences sold this way are available only to organisations with a Microsoft work or school account.

Directly from us. If we offer direct purchase, prices are in US dollars and exclude applicable taxes unless stated. Plans are billed in advance for the term chosen (one year or three years). Annual plans renew automatically for another term at the then-current price unless you cancel before the renewal date. We will remind you before any renewal, and will give at least 30 days’ notice of a price change. You can cancel at any time from your account or by emailing us. Cancellation takes effect at the end of the current term.

5. Refunds

Nothing in this section limits any consumer right you have that cannot be waived by contract.

6. Licence checks and the free-version fallback

Paid features require you to sign in with your Microsoft account so we can confirm your plan. IPT may cache that result so that it works offline for a period. If your licence cannot be confirmed, or ends, IPT falls back to the free version. We never delete, lock or alter charts or plans because a licence ends. Existing charts remain ordinary PowerPoint content and keep opening, presenting and printing. You simply cannot use paid features to extend them until the licence is restored.

7. What you may not do

8. Advertising in the free version

IPT does not currently display advertising. We may in future display advertising in the free version. If we do, the privacy policy will be updated first. Advertising will never be shown in paid plans, and your plan content will never be given to an advertiser. Advertisements are not endorsements, and we are not responsible for advertisers’ products.

9. Your content stays yours

Plans, charts and other content you create with IPT belong to you or your organisation. They are stored in your presentations, not by us, and we claim no rights in them. You are responsible for backing them up. Charts drawn by IPT are native PowerPoint content that you may use, share and modify freely, including after you stop using IPT.

10. Your schedule is your responsibility

IPT calculates dates, durations, dependencies, float and critical paths from the information you enter. It is a planning and presentation tool, not professional project-management, legal or financial advice. Check important dates before relying on them. Decisions made using IPT are yours.

11. Feedback

If you send us suggestions, ratings or bug reports, you give them voluntarily, and grant us a free, perpetual, worldwide licence to use them to improve our products, without obligation to you. Please do not send confidential information.

12. Third-party platforms

IPT runs inside Microsoft PowerPoint and depends on Microsoft’s Office platform. Your use of Office, and any Microsoft store you obtain IPT from, is governed by Microsoft’s own terms. Microsoft is not a party to these terms and is not responsible for IPT or its support. Changes Microsoft makes to Office may affect how IPT works.

13. Suspension and termination

You may stop using IPT at any time. We may suspend or end your licence if you materially breach these terms and, where the breach can be fixed, do not fix it within 14 days of notice. If we end a paid licence without cause, or discontinue IPT, we will refund the unused portion of any fees you paid us directly. When a licence ends, section 6 continues to protect your existing charts. Sections 7, 9, 10, 11 and 14 to 18 survive termination.

14. Warranty

For direct purchases of paid plans, we warrant that IPT will perform substantially as described in its documentation for 30 days after purchase. Your remedy is that we fix the problem or, if we cannot, refund what you paid for the current term. Otherwise, and for the free version, IPT is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation, to the fullest extent permitted by law. Some jurisdictions do not allow these exclusions, so they may not all apply to you.

15. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business interruption, arising from IPT or these terms. Our total liability for all claims is limited to the greater of the fees you paid us for IPT in the 12 months before the claim, or US$50.

Nothing in these terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

16. Indemnity

If you use IPT for business, you agree to indemnify us against third-party claims arising from your unlawful use of IPT or your breach of these terms. This does not apply to the extent the claim arises from our own act or omission.

17. Export and government use

You must comply with the export and sanctions laws that apply to you, and you confirm you are not barred from receiving IPT under them. IPT is “commercial computer software”. US Government users acquire it with only the rights set out in these terms.

18. Governing law and disputes

These terms are governed by the laws of the State of California, excluding its conflict-of-law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts of Santa Clara County, California have exclusive jurisdiction. This does not limit your right to bring a claim in a small claims court, or the protection of mandatory consumer law where you live.

19. Changes to these terms

We may update these terms. We will post the new version here with a new effective date, and will give paid customers at least 30 days’ notice of any material change. Changes apply from your next renewal unless the law or a security need requires otherwise. If you continue to use IPT after a change takes effect, you accept the updated terms.

20. General

Entire agreement. These terms, with the IPT Privacy Policy and any order you place, are the whole agreement about IPT. Where an organisation has signed a separate written agreement with us for IPT, that agreement takes priority. Severability. If any part of these terms is unenforceable, the rest remains in force. No waiver. Not enforcing a term is not a waiver of it. Assignment. You may not assign these terms without our consent. We may assign them to a successor to our business. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
